Terms and Conditions

These Terms and Conditions govern your access to and use of services offered by Sajo. Our Services are offered subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules, policies, and procedures that may be published from time to time by us. You agree that we may routinely update our Services, and the Terms and Conditions will apply to any updates. Please read the Terms and Conditions carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to become bound by the Terms and Conditions. If you do not agree to all the terms of the Terms and Conditions, then you may not access or use our Services.

1. Interpretation and Definitions

1.1 Interpretation
The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

1.2 Definitions

For the purposes of these Terms and Conditions:
Application means the software program provided by the Company downloaded by You on any electronic device, named Sajo.

Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Country refers to: Nigeria.

Company (referred to as either "the Company", "We", "Us" or "Our" in this Terms and Conditions) refers to Sajo.
Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.

Service refers to the Application or APP.

Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire Terms and Conditions between You and the Company regarding the use of the Service.

Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third-party that may be displayed, included, or made available by the Service.

Personnel refers to those individuals who are employed by Sajo or are under contract to perform a service on behalf of one of the parties.

Service Provider means a person, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

You mean the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

2. Acknowledgment
These are the Terms and Conditions governing the use of this Service and the Terms and Conditions that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You.

3. Restrictions

You agree not to, and you will not permit others to:

3.1 License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the service or make the platform available to any third party.

3.2 Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the service.

3.3 Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of or its affiliates, partners, suppliers, or the licensors of the service.

4. Use of Sajo App

4.1 Sajo app

Sajo, via the Sajo app provides a transparent platform on which the passenger (you) enters a contract with the driver for the provision of transport services. The Passenger (you) may choose whether to pay the driver in cash or via any payment option supported for the given location of journey. Charges may include applicable fees, tolls, and/or surcharges such as booking fee, airport surcharges, municipal tolls, or processing fees, and applicable taxes where required by law.

4.2 Sajo app Installation
During the process of installing the Sajo app, a passenger/user’s mobile number is associated to the respective Sajo user account and added to our database. If your mobile number is no longer in use, you must notify Sajo within Seven (7) days to enable us to update your account data. Failure to notify us about changes to your number could compromise your data on the Sajo app, if your mobile operator issues the same mobile number to another person and the person uses the number on Sajo app.

4.3 Sojo Services

Sajo provides an information society service through Sajo app. The Sajo app facilitates requests for several services (e.g., transport, Logistics, Handyman) between users and Service providers, and Sajo does not provide any of these services.

Services on the Sajo App are provided by Sajo Partners under a contract (with you) for the provision of designated services to, from, and for designated locations. Partners (e.g., Drivers) provide transport services as professional independent service providers. A service provider or partner could be a firm or and individual.

Sajo does not take or assume responsibility (directly or indirectly) in any way for fulfillment of the contract between the passenger (you) and the driver. Any disagreement arising from non-fulfilment, consumer rights, privileges, and entitlements; legal obligations or from law applicable to the provision of Services will be resolved between the Customer and Service Provider.

Data concerning Service Providers and their services are accessible in the Sajo app and receipts for Services are sent to the email address listed in a user’s profile.

4.4 Good practice using the Sajo app.

4.4.1 Issues with Defects
Since Sajo does provide or broker the services provided on the app, any issues with flaws, defects, and/or quality of the services will be resolved in accordance with the rules and regulations of the Sajo partner or Service provider or the relevant public authority.

4.4.2 Reporting Issues
We request that you to fill out the feedback form in the Sajo app. This will enable us to offer suggestions to the service provider for improving the quality of their service.

4.4.3 Personal Conduct
We expect that you exercise appropriate decorum in using the Sajo app; that you always act in good faith and be respectful of persons, agents and organisations that provide services through Sajo app.

Sajo reserves the right to close your account if you have violated the terms set out in this Terms and Conditions or if your activities are malicious, such as withholding payment for services provided, fraud, being disrespectful towards the service provider, use of force or any act of violence or abuse, etc. In these cases, your Sajo app account could be revoked without prior notice.

4.4.4 Competence of Service Providers
Sojo, through our screening process, will make every effort to ensure that only service provided, with proven record of competence, integrity, and are professional use the Sajo app to provide services. However, we do not guarantee that every service provider using the Sajo app always satisfies the above-mentioned standards. If in your experience a service objectionable or subnormal or substandard, You should notify the company responsible for the service, a supervisory authority, or our customer support.

5. Your Account

5.1 Provision of complete and accurate information
The use of our Services requires an account. You agree to provide us with complete and accurate information when you register for an account and keep the information up to date. This is important because sometimes we may need to send you notable updates (for example, about changes to our Terms of Service or Privacy Policy), or we may want to let you know about and make informed choices in response to legal inquiries or complaints.

You will be solely responsible and liable for any activity that occurs under your account. You are responsible for keeping your account information up-to-date and for keeping your password secure. You are responsible for ensuring the security of your account and any Service-related transaction or content, and you are fully responsible for all activities that occur under your account and any other actions taken in connection with our Services.

You shall not share or misuse your access credentials. You must immediately alert us of any unauthorised use of your account, or of any other breach of security, or any concerns concerning your account. We will not be legally responsible for any acts or omissions by you, including any damages of any kind incurred due to such acts or omissions.

5.2 Responsibility of Visitors and Users
We exercise the utmost cause to review all the content (such as, but not limited to, text, photo, video, audio, code, items for sale, advert and/or other materials) posted to our Services by users or anyone else. However, have not reviewed, and cannot review, all the content and are not responsible for any use or effects of such Content.

So, for example: We do not endorse any Content or represent that Content is accurate, useful, or non-harmful. Content could be insulting, indecent, or objectionable; include technical inaccuracies, typographical mistakes, or other errors; or violate or infringe the privacy, publicity rights, intellectual property rights, or other proprietary rights of third parties.

If you post Content, comment on our website, or otherwise make (or allow any third party to make) Content available on our Services, you are entirely responsible for the Content, and any harm resulting from, that Content or your conduct. We disclaim any liability for any harm resulting from anyone's use, purchase, or downloading of Content. If you access or use any Content, you are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.

The presence of a link to or from one of our Services does not represent or indicate that we endorse such website. When using these links, You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and all other harmful or destructive content.

5.3 Fees, Payment, and Refunds


5.3.1 Fees for Paid Services
Some of our Services are offered for a fee. By using a Paid Service, you agree to pay the specified fees (for example, fees that are associated with specific or general features). There may be one-time fees, recurring fees, or revenue-based fees depending on the type of paid services. For recurring fees, we will bill or charge you for in regular automatically renewing intervals (such as monthly, annually, or biennially), on a pre-pay basis, on a post-pay basis, as a percentage of revenue earned, as flat rate charged until you cancel, which you can do at any time by contacting the relevant support team. For revenue-based fees, such as fees for Recurring Payments, you pay us a percentage of the revenue your use of Sajo app or website generates. Revenue-based fees are ongoing.

5.3.2 Payment
By using the Sajo App you agree to pay all fees or charges to your account for the Service in accordance with the fees, charges, and billing terms in effect at the time that each fee or charge is due and payable. Unless otherwise indicated in an order form, you must provide us with a valid credit or debit card (Visa, MasterCard, or any other issuer accepted by us) as a condition to signing up as a driver or as passenger.

By providing us with your credit card number and associated payment information, you agree that we are authorised to verify information immediately, and subsequently invoice your account for all fees and charges due and payable to us and that no additional notice or consent is required.

You agree to immediately notify us of any change in your billing address or the credit or debit card used for payment. We reserve the right at any time to change its prices and billing methods, either immediately upon posting on our Site or by e-mail delivery to your organization and administrator(s). Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be the responsibility of and paid for by you.

5.3.3 Payment options
You can pay for the services provided on the Sajo App with a card, mobile carrier billing, or other payment methods (e.g., Sajo Pass). Use of payment method depends on the payment options supported for the service, and the given location of.

5.3.4 Appointment as Commercial Agent
By providing Sajo in-App Payment service, Sajo acts as commercial agent to its partners that provide the transport services. Every driver has authorised Sajo as their commercial agent to mediate the conclusion of contracts between the passenger and the driver for each trip, including the authority to accept payments from the passengers and to forward the payments to the driver. You, as a passenger are responsible for ensuring that sufficient funds are available in your account, and that the payment is successful. Sajo may ask additional data from you to verify payment method. Your obligation to the provider of the transport service will be fulfilled when the payment order is given to transfer funds to Sajo’s bank account.

5.3.6 Failure to make Payments.
If your payment fails or if Paid Services are otherwise not paid for or paid for on time, we may immediately cancel or revoke your access to the Paid Services. If you contact your bank or credit card company to decline or reverse the charge of fees for Paid Services, we may revoke your access to our Services in general.

5.3.7 Third-party Payment Costs
When making payments by Sajo in-App Payment for transport and or other services, Sajo is not responsible for possible third-party payment costs (e.g. bank fees, taxes, mobile operators charges, etc). You are responsible for any third-party fees that you may incur when using the Service. Third party service providers may charge you additional fees when processing payments in connection with the Sajo in-App Payment. We are not responsible for any such fees, or any Terms and Conditions imposed by the applicable third-party payment service provider and Sajo disclaims all liability in this regard. Please carefully review any applicable Terms and Conditions before using your payment method.

5.3.7 Fee Changes
We may modify or review our fees at any time or start charging fees for Services that were previously free. When applicable, we may give you advance notice of the fee changes. If you do not agree with the fee changes, you are required to cancel your Paid Service.

5.3.8 Refunds
Sajo will be responsible for the functioning of Sajo in-App Payment and provide support in resolving any issues. All disputes resolution related to Sajo in-App Payment takes place through us. For payment support service please contact engage@sajo.ng

You will receive a response to inquiries submitted by e-mail or Sajo App within one business day. Sajo will resolve Sajo in-App Payment related complaints and applications within three business days. While you may cancel a Paid Service at any time, refunds are issued in our sole discretion, unless otherwise required by relevant law.

6. Ordering and Cancelling Services

6.1 If you order any of our services (E.g., Taxi, Delivery, Handyman) and the Provider has agreed to undertake the work then the service is considered to be ordered.

6.2 Once a service provider confirms that he/she will complete your service, you will enter into a separate Terms and Conditions with the service provider for the provision of the service on such terms and conditions as you agree with the service provider. Sajo does not provide individual services ((E.g., Taxi, Delivery, Handyman, etc.) and is not a party to your Terms and Conditions with the relevant service provider (E.g., Taxi driver, Delivery man, etc.)

6.3 Cancellation of an ordered transport service is considered to be the situation where the service provider has replied to your request and you subsequently reject, cancel, or refuse the service. You are required to pay a cancellation fee when a service request is cancelled after certain time period.

6.4 If, within 24-hours, you cancel service request for service (e.g., taxi, delivery, etc.) on multiple successive instances we may, for warning, temporarily block your account. After multiple warnings, we may suspend your account for longer period (e.g up to 3 months). After an extended suspension period you could request account reactivation, subject to review, at the sole discretion of Sajo.

6.5 Once the service provider arrives at the service location and sends you a notification that he/she has arrived the Sajo app may begin to charge fare on a waiting time basis according to the rates specified in the Sajo app.

6.6 When service provider notifies you about his/her arrival (e.g., vehicle or person) to the designated location and you do not arrive at the vehicle within time specified in the Sajo app, the request will be deemed cancelled. Sojo is not responsible for situations where the service provider decides to cancel your request.

6.7 If you have requested transport services using the Sajo app and cause damage to the driver’s vehicle or its furnishing (e.g blemishing or staining the vehicle or causing the vehicle to stink), the driver reserves the right to require you to pay a penalty of 5,000 Naira and require compensation for any damages exceeding the penalty. If you do not pay the penalty and/or compensate the damage, Sajo may pursue the claims on behalf of the provider of the transport service.

6.8 If you physically or verbally attack a user of the Sajo app which a service is being provided or cause harm to him/her, the victim reserves the right to seek compensation, institute criminal charges, or adopt any legal means of redress. Sajo will provide all information available to us to ensure that justice is served.

7. Your Consent
We have and will continue to update our Terms & Conditions to provide you with complete transparency into what is being set when you visit our site or use our app, and how it is being used. By using our service, registering an account, or making a purchase, you consent to our Terms & Conditions.

8. General Representation and Warranty

8.1 Provision of Services

We do not warrant or represent the completeness or accuracy of the information published on our app or on the website is up to date, or that the app or website or any service on the app or website will remain available. We reserve the right to discontinue or alter any or all of our services, and to stop publishing our website and or app, at any time in our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in these terms and conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any website services, or if we stop publishing the website.

To the maximum extent permitted by applicable law, we exclude all representations and warranties relating to the subject matter of these terms and conditions. These exclusions will not apply to Jurisdiction that does not allow its applications.

8.2. Guarantee of Proper use Services
You warrant, guarantee, and declare that your use of our Services will be in strict accordance with these Terms:

8.2.1 You will comply with all relevant laws and regulations (including, without limitation, all applicable laws regarding online conduct and acceptable content, privacy, data protection, the transmission of technical data exported from the States or the country in which you reside, the use of financial services, notification and consumer protection, unfair competition, and false advertising).

8.2.2 You will not use the Services for any unlawful purposes, to publish illegal content, or in furtherance of illegal activities.

8.2.3 You will not infringe or misappropriate the intellectual property rights of any third party. - You will not overburden our systems, as determined by us in our sole discretion.

8.2.4  You will not disclose sensitive and personal information of others.

8.2.5 You will not be used to send spam or bulk unsolicited messages.

8.2.6 You will not interfere with, disrupt, or attack any service or network.

8.2.7 You will not be used to create, distribute, or enable material that is - or that facilitates or operates in conjunction with - malware, spyware, adware, or other malicious programs or code.

8.3 Copyright Infringement
As we ask others to respect our intellectual property rights, we respect the intellectual property
rights of others. If you believe that material located on or associated with one of our products or services violates your copyright, please notify us.

We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. We will terminate a visitor's access to and use of the website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of our service. In the case of such termination, we will have no obligation to provide a refund of any amounts previously paid to us.

8.4. Intellectual Property
The Terms and Conditions does not transfer from Sajo to you any intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Sajo. Any trademarks, service marks, graphics, and logos used in connection with our Services, are trademarks or registered trademarks of Sajo. Other trademarks, service marks, graphics, and logos used in connection with our Services may be the trademarks of other third parties. Your use of our Services grants you no right or license to reproduce or otherwise use any Sajo or third-party trademarks.

8.5 Indemnification
You agree to indemnify and hold us and our personnels, subsidiaries, affiliates, officers, employees, agents, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the service; (b) violation of this Terms and Conditions or any law or regulation; or (c) violation of any right of a third party.

9. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, time-bombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

10. Promotions
We may, from time to time, include contests, promotions, sweepstakes, or other activities that require you to submit material or information concerning yourself. Please note that all Promotions may be governed by separate rules that may contain certain eligibility requirements, such as restrictions as to age and geographic location. You are responsible to read all Promotions rules to determine whether or not you are eligible to participate. If you enter any Promotion, you agree to abide by and to comply with all Promotions Rules. Additional terms and conditions may apply to purchases of goods or services on or through the Services, which terms and conditions are made a part of this Terms and Conditions by this reference.

11. Promotional Codes
Sajo may send you promotional codes on a specified promotion basis. Promotional code credit can be applied towards payment for a service or other features or benefits related to the service and/or a Third Party’s service. Promotion codes are subject to any additional terms and conditions that are established based on each promotion.

Expiration dates of a promotion code will be reflected in Sajo app once you have applied the promo code to your account.
If the cost of service exceeds the redeemable credit allocated to your service, the balance will be deducted automatically from your account’s payment method. Promo code credit are not transferable and may be only used for the service and within the timeframe for which it is designated. Promo code can only be applied once and any balance on the promo code is forfeited once it has been applied.

Sajo reserves the right to cancel any promotional code at any time for any reason. This includes, but is not limited to, if Sajo considers that codes are being used in a fraudulent or unlawful manner, or that codes are issued mistakenly, have expired, or compromises the integrity of services or the Sajo app.

12. Your Suggestions
In the event that you submit or post any ideas, improvements, creative suggestions, designs, photographs, information, advertisements, data or proposals, including ideas for new or improved products, services, features, technologies or promotions, you expressly agree that such submissions will automatically be treated as non- confidential and non-proprietary and will become the sole property of us without any compensation or credit to you whatsoever.

We and our affiliates shall have no obligations with respect to such submissions or posts and may use the ideas contained in such submissions or posts for any purposes in any medium in perpetuity, including, but not limited to, copying, modifying, publishing, redistributing, developing, manufacturing, and marketing products and services using such ideas, in any way without any credit or any compensation to you.

13. Service Errors
In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/ or service listed at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment account in the amount of the charge.

14. Links to Other Websites
Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly, or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

15. Cookies
We use "Cookies" to identify the areas of our website that you have visited. A Cookie is a small piece of data stored on your computer or mobile device by your web browser. We use Cookies to enhance the performance and functionality of our service but are non-essential to their use.

However, without these cookies, certain functionality like videos may become unavailable or you would be required to enter your login details every time you visit our platform as we would not be able to remember that you had logged in previously. Most web browsers can be set to disable the use of Cookies. However, if you disable Cookies, you may not be able to access functionality on our website correctly or at all. We never place Personally Identifiable Information in Cookies.

16. Termination

Sajo may, without prior notice or liability, immediately terminate or suspend your access to the Sajo app or its website for any reason whatsoever, including without limitation if you breach these Terms and Conditions or if we consider it necessary to protect the integrity of Sajo or the safety of Service providers.
Upon termination, your right to use the Service will cease immediately.

17. Limitation of Liability

17.1 These limitations will govern all liabilities arising under these terms and conditions or relating to the subject matter of these terms and conditions, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in these terms and conditions.

17.1.1 You accept that Sajo, its representatives, directors and employees will not be liable to you in respect of any loss or damage arising out of any event or events beyond our reasonable control, as a result of using Sajo app or relying on, the service/services contracted for through the Sajo App, including but not limited to i) any direct or indirect property damage or monetary loss; loss of business, goodwill, profit, contracts, contacts, reputation; data inaccuracy; and any other loss or damage that may arise from interruption of the business.

17.1.2 You accept to fully indemnify and hold Sajo, their affiliate or subsidiary companies, representatives, employees, and directors harmless from any claims or losses (including liabilities, damages, costs, and expenses of any nature) that they suffer because of your use of the Sajo app (including the services (e.g., journeys you obtain through your use of the Sajo app).

17.1.3 You accept that we have an interest in limiting the personal liability of our personnels, having regard to that interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against our personnel in respect of any losses you suffer in connection with our servicesor these terms and conditions (this will not, of course, limit or exclude the liability of the limited liability entity itself for the acts and omissions of our officers and employees).

17.1.4 You accept that the financial liability of Sajo in connection with breach of the contract will be limited to 25,000 Naira. You will have the right to claim for damages only if Sajo has deliberately violated the contract. Sajo will not be liable for the actions or inactions of a service provider and will not be liable for damages that the service provider causes to the service user (e.g., passengers).

17.2 The consumer’s right of refund is not applied to Sajo app orders. Requesting a refund from the transport service does not withdraw you from the Terms and Condition in the course of which the provision of the service service was ordered.

17.3 Nothing in these terms and conditions will:

17.3.1 limit or exclude any liability for death or personal injury resulting from negligence. - limit or exclude any liability for fraud or fraudulent misrepresentation.
- limit any liabilities in any way that is not permitted under applicable law.

17.4. Notwithstanding any damages that You might incur, the entire liability of the Company and any of its partners or service providers under any provision of this Terms and Your exclusive remedy for all the foregoing shall be limited to the amount actually paid by You through the Service or Five Thousand Naira (N5000) only, if You have not purchased anything through the Service.

17.5 To the maximum extent permitted by applicable law, in no event shall the Company or its partners or suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

17.6 Where a state does not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

18. License To Use Sajo App
As long as you comply with these Terms and Conditions, we agree to grant you a royalty free, revocable, non-exclusive, right to access and use the Sajo app in accordance with these Terms and Conditions, the Privacy Notice, and the applicable app-store terms. You may not transfer or sub-license this right to use the Sajo app. In the event that your right to use Sajo app is cancelled, the corresponding non-exclusive license will also be cancelled.

19. Disputes Resolution
If You have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

20. Severability and Waiver

Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver
Except as otherwise provided, the failure to exercise a right or to require performance of an obligation under this Terms and Conditions shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute waiver of any subsequent breach. No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Terms and Conditions shall operate as a waiver of that right or power.

Nor shall any single or partial exercise of any right or power under this Terms and Conditions preclude further exercise of that or any other right granted. In the event of a conflict between this Terms and Conditions and any applicable purchase or other terms, the terms of this Terms and Conditions shall govern. Any waiver of any provision of these terms and conditions will be effective only if in writing and signed by an authorised representative of us.

21. Translation Interpretation
These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

22.1 We are constantly updating our Services and that means sometimes we have to change the legal terms under which our Services are offered. We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at Our sole discretion.

Neither party shall be liable to the other for any failure to perform any obligation under any Terms and Conditions which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of an Terms and Conditions or contract entered into, nor which could have been reasonably foreseen. In no event shall we be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Service or the contents of the Service. We reserve the right to make additions, deletions, or modifications to the contents on the Sajo App at any time without prior notice.

28. Terms And Termination
This Terms and Conditions shall remain in effect until terminated by you or us. We may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Terms and Conditions with or without prior notice. This Terms and Conditions will terminate immediately, without prior notice from us, in the event that you fail to comply with any provision of this Terms and Conditions. You may also terminate this Terms and Conditions by deleting the service and all copies thereof from your computer.

Upon termination of this Terms and Conditions, you shall cease all use of the service and delete all copies of the service from your computer. Termination of this Terms and Conditions will not limit any of our rights or remedies at law or in equity in case of breach by you (during the term of this Terms and Conditions) of any of your obligations under the present Terms and Conditions.

29. Assignment
You agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms and conditions. You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these terms and conditions.

30. Jurisdiction and Applicable Law
The Terms and Conditions and any access to or use of our Services, except to the extent any applicable law provides otherwise, will be governed by the laws of Nigeria excluding its conflict of law provisions. If the respective dispute resulting from TheTerms and Conditions or Terms and Conditions could not be settled by the negotiations, then the proper venue for the resolution of any disputes arising out of or relating to the Terms and Conditions and any access to or use of our Services will be the state and federal courts located in Rivers State, Nigeria.

Where any provision of this Terms and Conditions cannot deemed to be unenforceable as is, the parties will substitute the affected provision with an enforceable provision that approximates the intent and economic effect of the affected provision.

31. Miscellaneous
The Terms and Conditions constitute the entire Terms and Conditions between Sajo and you concerning the subject matter hereof. If any part of the Terms and Conditions is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.

A waiver by either party of any term or condition of the Terms and Conditions or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under the Terms and Conditions to any party that consents to, and agrees to be bound by, its terms and conditions. Sajo may assign its rights under the Terms and Conditions without condition. The Terms and Conditions will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
